Smedja Helm QuickBooks connection. End User License Agreement.
Effective date: October 12, 2026
This agreement is between Smedja LLC, a Texas limited liability company at 5517 Rockwood Dr, The Colony, TX 75056 ("Smedja"), and the business that connects its QuickBooks Online company to the Smedja Helm software ("you" or "the Client").
1. What the software is. Smedja Helm is hosted software that Smedja operates for its clients under a signed Services Agreement. With your authorization it connects to your QuickBooks Online company so that your authorized users can create customer invoices from a phone or a browser, and so the software can show you whether those invoices have been paid. Intuit Inc. is not a party to this agreement and does not operate the software.
2. Your license. For as long as your Services Agreement with Smedja is in effect, Smedja grants you a non-exclusive, non-transferable right to use the software for your own business. You may not resell it, copy it, reverse engineer it, or let anyone outside your business use your access.
3. What you authorize. When you connect QuickBooks, you authorize the software to read your customers, products and services, invoices and payments, and to create invoices and customer records in your company when one of your authorized users directs it. An authorized user may also direct the software to void an invoice it created. The software never creates or voids an invoice on its own, never emails your customers, and never moves money. Any invoice delivery or payment collection happens through the tools you already use with QuickBooks.
4. Your responsibilities. You decide who in your business may create and send invoices, and you tell Smedja when that changes. You review the invoices your users create. You keep your QuickBooks login to yourself. Smedja never asks for it and never stores it.
5. Disconnecting. You can disconnect at any time, either from the Settings page of the software or from the Apps section of QuickBooks Online. Disconnecting revokes the software's access and deletes the stored access tokens. Invoices already created stay in your QuickBooks, because they belong to you.
6. Intuit's terms. Your use of QuickBooks Online remains subject to Intuit's own terms. If Intuit changes or withdraws the interfaces the software depends on, Smedja will tell you and adjust the software where it reasonably can.
7. Warranty and liability. The software is provided under the warranty, support and liability terms of your Services Agreement with Smedja. Nothing in this agreement adds to or takes away from them. Smedja is not responsible for the accuracy of data you or your users enter, for QuickBooks itself, or for third-party services connected to your QuickBooks company.
8. Changes. Smedja may update this agreement by posting a new version at this address with a new effective date. Material changes will also be sent to the Client contact on file.
9. Governing law. Texas law governs this agreement. Disputes are handled as set out in your Services Agreement.
